Version: 2026-10-15  ·  Replaces the Terms of Service last updated 17 August 2026.

A printed copy includes the Customer Details form, the Key Acknowledgements page and the signature page.
These Terms are a legally binding contract between your business and Advance Tech India. They apply when you sign them, tick the box to accept them when creating an account, sign in, or use any Acxa hardware or service. Please read Part C (your data) and Part E (responsibilities and legal protections) carefully: they explain how figures can be wrong and data can be delayed or lost, and they limit our liability. How we handle personal data is explained in our Privacy Policy.

The key points

This summary helps you find the important parts. The full Terms below are what apply.

Part A — About these Terms

1. About these Terms

1.1 These Terms and Conditions (“Terms”) are a binding contract between Advance Tech India, a sole proprietorship owned by Gurmail Singh Dheri (together with his legal heirs, successors and permitted assigns, “Acxa”, “we”, “us”, “our”), and the business that buys or uses any Acxa hardware or service (“Customer”, “you”, “your”). On a signed printed copy, the Customer is the business named in Schedule 1; otherwise, it is the business registered on the Account or named on the invoice.

1.2 When these Terms apply. These Terms apply to you from the earliest of the following: (a) you sign a printed copy of them; (b) you tick the box to accept them when creating an account; (c) you sign in to, or use, any Acxa app or the cloud service; (d) you order, accept delivery of, pay for or install Acxa hardware; or (e) you use Acxa hardware supplied for a demonstration.

1.3 Business use only. You confirm that you buy and use the hardware and services for the purposes of your business, and not for personal, domestic or household use. To the extent permitted by law, you agree that you are not a “consumer” in relation to them under the Consumer Protection Act, 2019.

1.4 Authority. The person who signs or accepts these Terms confirms that they are authorised to bind the Customer (for example, as its proprietor, partner, director or authorised signatory). A person who accepts without that authority is personally bound by these Terms.

1.5 Understanding. You confirm that you have read these Terms, or had them explained to you in a language you understand, and that you had the chance to ask questions and take advice before accepting them. If these Terms are translated, the English version prevails.

1.6 Documents that form the agreement. The agreement between us consists of: (a) any order form, written quotation you accepted, or invoice that sets out quantities, prices or other commercial details for you (an “Order Form”), including Schedule 1 of a signed printed copy; (b) these Terms; and (c) our Privacy Policy at app.acxa.in/privacy. If they conflict, the Order Form prevails for commercial details (such as quantities, prices, delivery and warranty period) and these Terms prevail for everything else. An Order Form can change Part C or Part E of these Terms only if it names the clause being changed and is signed by an authorised signatory of Acxa.

1.7 Electronic and printed acceptance. Accepting these Terms by ticking a box, clicking a button or using the services creates an electronic contract that is valid under the Information Technology Act, 2000. A signed printed copy is equally binding. Signing a printed copy does not stop later versions of these Terms applying under clause 32.

1.8 Version. This is version 2026-10-15. The current version is always published at app.acxa.in/terms. When an account is created after accepting these Terms in the app, we keep a record of the version accepted and the date and time.

In these Terms:

Part B — What we provide

4. The Acxa Control System

4.1 What it is. Acxa supplies: (a) machine panels and displays (such as the CH Panel and DSP-CD Display) that replace a knitting machine's original control panel or display and form part of how the machine is controlled, and adapters (such as the DSP-C Node) that connect to a machine's existing display; and (b) Gateways that collect data from these devices and send it over the internet to our cloud service, where our apps show it as live machine status, history, reports and alerts.

4.2 What it is not. The Services are a production monitoring and management aid. They are not: (a) a safety system or an emergency-stop system; (b) a certified weighing or measuring instrument under the Legal Metrology Act, 2009; (c) a payroll, wage, attendance or accounting system of record; or (d) a promise of any production level, efficiency, saving or business result.

4.3 Changes to features. We continually improve the Services and may add, change or remove features, screens, reports and calculation methods. We will not remove a core feature during a Plan Period you have already paid for, unless this is needed for security or legal reasons or for technical reasons beyond our reasonable control. Features marked as “test”, “preview” or “beta”, and features provided free, are provided as they are and may be changed or withdrawn at any time.

5. Hardware

5.1 Purchase. Hardware is sold, not rented, at the price on the Order Form or invoice. If you buy Hardware through a Reseller, the price, payment, delivery and fitting arrangements are between you and the Reseller. A Reseller is an independent business, not our agent, employee or partner, and cannot make promises on our behalf unless we confirm them in writing.

5.2 Delivery, risk and ownership. Risk of loss of or damage to Hardware passes to you when it is delivered to your premises, or when it is handed to you, your Reseller or your carrier, if earlier. Ownership passes to you only when we (or the Reseller) have received full payment for it. Until then you hold the Hardware on our behalf, must keep it safe, and we may recover it if payment is overdue.

5.3 Demonstration hardware. Hardware supplied for a demonstration or trial remains our property. You must look after it and return it in good working order within 7 days after the demonstration ends or when we ask. If it is not returned, or is returned damaged, we may invoice you for its list price or the cost of repair.

5.4 SIM cards. A Gateway may contain a SIM card that we obtain from a mobile network operator and that is registered to us. The mobile data cost of normal Gateway use is included in the Subscription. The SIM card remains ours (or the operator's). You must not remove it, put it in any other device or use it for any other purpose, and you must pay any charges or penalties caused by misuse. We may suspend or deactivate a SIM card when no Subscription is active for its Gateway, or if we suspect misuse. Mobile network coverage depends on the operator and your location, and we do not guarantee it.

5.5 Compatibility. You are responsible for confirming that the Hardware is suitable for your machines. Our panels and displays are designed for specific machine types. Fitting Hardware to any other machine is at your own risk unless we confirm compatibility in writing.

5.6 Installation. Hardware must be installed only by a qualified electrician — our staff, a Reseller or your own electrician. Whoever installs it is responsible for their own workmanship; we are not responsible for work done by anyone who is not our employee. Before installation you must provide: (a) safe access to the machines, with power isolated; (b) a stable power supply within the rated voltage, with proper earthing and surge protection; (c) for each Gateway, a mounting place that is dry, ventilated, protected from dust, oil, heat and physical damage, and within radio range of the machines it serves; and (d) usable mobile network coverage, or Wi-Fi or wired internet, at each Gateway. After installation and before production, you must check that each machine works correctly and safely.

5.7 Settings. You are responsible for entering, checking and keeping up to date all settings and set-up information, including machine names and numbers, which panel is on which machine, shift timings, the factory time zone, roll targets, sample-roll weights, alert thresholds, worker IDs and worker names. If a panel or Gateway is moved, replaced or swapped between machines, you must update the settings. Figures based on wrong or out-of-date settings will be wrong.

5.8 Firmware and remote updates. Firmware is licensed to you for use with the Hardware, not sold. You agree that we may update the Firmware and the apps remotely (“over the air”) to fix faults, improve accuracy or security, or add features. Updates are designed not to interrupt a panel's control of its machine and, on devices that support it, to return to the previous version if an update fails. An update may still occasionally fail, be delayed or cause a temporary fault, and we will use reasonable efforts to correct it. You must not install any other firmware on the Hardware or attempt to read, copy or change the Firmware.

5.9 Older panels. Older panels without built-in connectivity cannot be upgraded to work with the Services. Any part-exchange of older Acxa panels is at our discretion, at a price agreed in writing.

5.10 Selling or moving Hardware. If you sell, give away or stop using Hardware, tell us first, so that we can detach it from your factory and deal with the data linked to it.

6. Warranty and repairs

6.1 Warranty period. We warrant that Acxa Hardware will be free from defects in materials and workmanship under normal use for the warranty period stated on the Order Form or invoice. If no period is stated, the warranty period is 24 months from the date of the invoice for that Hardware (or from delivery, if there is no invoice).

6.2 Repair cover while subscribed. After the warranty period ends, we will continue to repair defects of the kind covered by clause 6.1 free of charge for as long as a paid Subscription covering the machine on which that Hardware is installed (or, for a Gateway, at least one machine it serves) is active, both when the fault is reported and when the repair is made.

6.3 What we will do. If a covered defect is confirmed, we will, at our option, repair the Hardware, replace it with new or refurbished equivalent Hardware, or refund the price paid for the defective unit. This is your only remedy for defective Hardware. Replaced parts become our property. Repaired or replaced Hardware is covered for the rest of the original warranty period, or for 3 months, whichever is longer.

6.4 How to claim. Report the fault to us with the machine, panel or Gateway details. We will first try to find and fix the problem remotely. If a hardware fault is confirmed, your electrician must remove the unit and send it to our Ludhiana address (or where we direct), at your cost. For covered repairs within India, we pay to send the repaired or replacement unit back to you. Customers outside India pay all shipping, customs duties, import taxes and clearance charges in both directions. Repair times depend on the fault and on parts availability and are not guaranteed. We do not provide standby or loan units unless agreed in writing.

6.5 What is not covered. The warranty and the repair cover in clause 6.2 do not cover:

  1. damage from power surges, voltage fluctuation, lightning, poor earthing or faulty wiring;
  2. damage from water, oil, chemicals, dust, fire, heat, rodents or insects;
  3. accidents, drops, misuse, neglect or excessive force;
  4. installation, wiring, repair, opening or modification by anyone we have not authorised, or broken seals or labels;
  5. use with incompatible machines or outside the conditions we publish;
  6. normal wear and tear (including of touch screens, buttons, keypads and cables) and cosmetic damage;
  7. SIM cards, consumables and accessories not made by us;
  8. Hardware that has not been paid for in full; or
  9. faults caused by events described in clause 29.

6.6 Repairs that are not covered are charged for parts and labour. Where reasonably possible, we will tell you the charge before repairing. If a repaired unit is not paid for and collected within 90 days after we tell you it is ready, we may dispose of it after giving you a further 30 days' written notice.

6.7 No compensation for downtime. We are not responsible for lost production, idle machines, wages or other losses while Hardware is faulty or being repaired (see clause 27).

7. Software, accounts and free trial

7.1 Licence. While your Subscription or Trial is active, we give you a limited, non-exclusive, non-transferable and revocable right to use the Software for the internal operations of your own factories. You may not sell, rent, share or sub-license access to anyone outside your business.

7.2 Your Account. The factory owner creates the Account (or we create it on your behalf) with an email address and password, and the email address must be verified. You must give true, complete and current information — including your name, mobile number, factory name and email address — and keep it up to date, because we use it to contact you about faults, billing and security.

7.3 Account security. You are responsible for everything done through your Account and by your Authorised Users. Keep your password secret and strong, use “keep me signed in” only on devices you control, sign out of shared computers, and tell us immediately at support@acxa.in if you suspect someone else has used your Account. We are not responsible for loss caused by your password being shared, stolen or guessed, unless it was caused by our failure to meet clause 16.

7.4 Claiming Gateways. You must claim only Gateways that you own or are entitled to use. Claiming a Gateway links it, and the machines connected to it, to your factory. Moving a Gateway to a different factory or owner must be done through our support team and may require proof of ownership. Data recorded by a Gateway before it is claimed (for example, during installation) may appear in your Account.

7.5 Updates and supported versions. The Windows and macOS app updates itself. The phone app updates through the App Store, Google Play and over-the-air updates. You must keep the apps, browsers and operating systems on your devices reasonably up to date; older versions may stop working. You are responsible for your own computers, phones and internet connection.

7.6 Free trial. A new factory gets one free Trial of 15 days (or another period shown in the app or the Order Form), starting when its first Gateway is claimed. Only one Trial is available for each factory and business. When the Trial ends, access is locked unless a Subscription is paid for; you are never charged automatically. We may refuse, shorten or end a Trial if we suspect misuse.

7.7 App stores. If you download a phone app from Apple's App Store or Google Play, Apple and Google are not parties to these Terms and are not responsible for the app or its support. Their own terms also apply to your download and use.

7.8 Open-source components. The Software includes open-source components that are licensed under their own terms, which apply to those components.

8. Support and our access to your factory

8.1 Support. Support is available by email at support@acxa.in and through the phone and WhatsApp numbers published on our website. We will respond within a reasonable time, but we do not guarantee response or repair times unless a written service-level agreement is signed with you.

8.2 Our staff's access to your data. You agree that our authorised staff may view your factory's data and Account, change settings and plans, and send updates to your Hardware, in order to set up and support your factory, investigate faults and complaints, check accuracy, run billing, keep the Services secure and comply with the law. Staff access is limited to staff roles, our staff are bound by confidentiality, and staff actions are logged.

8.3 Investigating problems. To investigate a problem, we may copy a limited time window of your factory's data into our separate test system, replacing worker names where practical, and will delete the copy when the investigation is complete, normally within 30 days.

8.4 Visits. Visits to your premises are at our discretion and may be charged (including travel), unless covered by the warranty or agreed in writing.

8.5 Problems not caused by us. We may charge for work on problems caused by your power supply, network, machines, other equipment or Authorised Users, or by changes we did not make.

Part C — Your data

9. What is recorded

9.1 Machine Data: whether each machine is running, stopped, inching or offline; speed (RPM); revolution, counter and roll counts and targets; roll starts and ends; stops and stop reasons; faults and alarms; machine settings; device health such as signal strength, firmware version, restarts and power-ups; and the times of all of these.

9.2 Worker Data: worker IDs entered on the panels; the names and phone numbers of workers you add; which worker ran which machine and when; and worker efficiency, timing and production figures calculated from this.

9.3 Business Data: the account holder's name, email address and mobile number; your factory name, settings, shift timings and time zone; billing details such as GSTIN, billing name and address; payment and invoice records (card and UPI details are handled by Razorpay and are not stored by us); orders, weights and maintenance records you enter; notification settings and the device tokens used to send alerts; messages you send us; and the record of your acceptance of these Terms.

9.4 Technical data: crash and error reports from our apps (such as device type, app version, screen name and time) and security logs.

9.5 Our Privacy Policy describes this in more detail.

10. How data travels

  1. The panel records what the machine is doing, as listed in clause 9.1.
  2. The panel sends it to a Gateway by short-range radio. Each Gateway serves a limited number of machines (currently up to about 20).
  3. The Gateway sends it to our cloud service over the internet, normally about once a minute, using its SIM card, Wi-Fi or a wired connection.
  4. Our cloud service stores and calculates. It runs on Google Cloud and Firebase, stores the data and calculates shift summaries, efficiency, rolls, reports and alerts. Our main database is in Google's Delhi (India) region; some data and processing, crash reporting and notification delivery are handled on servers outside India (see clause 15.5).
  5. Our apps show it. Live screens can be a minute or more behind the factory floor, and figures for a shift can change when late data arrives.

11. Who owns the data and how we use it

11.1 As between you and us, you own your Customer Data.

11.2 You give us a non-exclusive, royalty-free licence, for as long as the agreement lasts and the data is kept under clause 14, to collect, store, copy, process, analyse, transmit and display Customer Data in order to provide, support, secure, bill for and improve the Services and to comply with the law.

11.3 We may create statistics and other information from Customer Data that is aggregated and anonymised so that it does not identify you, your factory or any person, and use it to improve our products (for example, their accuracy and reliability). We own that anonymised information.

11.4 We do not sell Customer Data. We share it only: with the service providers who run parts of the Services for us (clause 30); when required by law, a court order or a government authority; to protect rights, property or safety or to prevent fraud; as part of a sale, merger or reorganisation of our business, under confidentiality; or with your permission.

11.5 We will not name you or use your logo as a customer reference without your permission.

12. Accuracy of figures

12.1 Figures are estimates. Counts, speeds, efficiency, running and stop times, roll figures, weights and worker figures are produced by sensors, panels, radio links, software and the settings you enter. They are designed to be accurate, but they can differ from actual production. Causes include: wrong or out-of-date settings; faults in a sensor, panel or Gateway; machines that are modified, repaired or swapped; a worker entering a wrong ID or another worker's ID; missing or late data (clause 13); counter resets and roll-overs; clock differences; rounding; and the way terms such as efficiency, running time and stop time are defined.

12.2 Missing data. Where data is missing, the Software is designed to leave the missing time out of a calculation rather than guess. It may then show a figure based on part of a period (for example, “based on X of Y”) or leave the figure blank. Such figures are incomplete.

12.3 Weights. Fabric weights are estimates calculated from the sample-roll weight you enter and the machine's revolutions. They are not a certified weighing and must not be used as the weight for trade, invoicing or any legal purpose. Changing a sample-roll weight recalculates the estimates for past rolls.

12.4 Decisions about workers. Worker figures are an aid to supervision only. Before you use any figure to decide pay, deductions, incentives, discipline, dismissal or any other matter affecting a worker, you must check it against other evidence, such as physical counts, attendance records and supervisors' reports. You alone are responsible for those decisions and for complying with labour, wage and employment laws. We are not liable for any claim, dispute or proceeding by any worker, union or authority arising from your use of the figures.

12.5 Your checks. You should regularly compare figures with physical counts and tell us promptly about any difference, giving the machine, date and time. The sooner you tell us, the more we can investigate: detailed data is deleted after the periods in clause 14.

12.6 Corrections. We may correct or recalculate figures, including past figures, when we find an error or when late data arrives. A report downloaded earlier may therefore differ from the same report downloaded later.

13. Delays, gaps and data loss

13.1 You accept that no system of this kind can guarantee that every reading is recorded, sent, stored and shown. Data may be delayed, incomplete, duplicated, recorded against the wrong time, shift, machine or worker, or permanently lost.

13.2 Common situations in which this can happen include:

SituationWhat can happen
Power cut at a GatewayGateways have no battery. While off, a Gateway cannot collect or send data. Panels store some data for a limited time; anything beyond that is lost. After restarting, a Gateway needs a working internet connection to set its clock before it can store new readings.
Power cut at a machineThe panel cannot record while it has no power, and readings being recorded at the moment of the power cut may be lost.
Internet, mobile network or SIM problemsIncludes weak signal, operator outages, a suspended SIM, router faults and internet shutdowns ordered by authorities. Readings are stored on the Gateway and panels and sent when the connection returns, but only within the devices' storage limits — for some data as little as about one hour, depending on the device, its firmware version and how busy the machines are. When storage is full, the oldest readings are overwritten and lost.
Radio problems between panel and GatewayDistance, walls, metal structures, interference, too many machines on one Gateway, or a panel connecting to the wrong Gateway can delay or lose data. Panels store only a limited amount while the link is down.
Clock errorsThe Gateway takes its time from our cloud service. Until it has done so, or if a device's clock is wrong, readings may be dropped or recorded at the wrong time, shift or day.
Wrong or out-of-date settingsData may be shown against the wrong machine, worker, shift or day, and figures may be wrong (clause 5.7).
Hardware faults, damage or handlingFaults, damage, tampering, unplugging, pressing a Gateway's reset button, or replacing or re-pairing a panel can erase data stored on the device.
Updates and software faultsA failed firmware or app update, or a fault in our software or someone else's, can delay, corrupt or lose data.
Cloud and third-party outagesOutages or faults at Google Cloud or Firebase, mobile operators, Razorpay, or email or notification providers. Data sent during an outage may not be received.
Deletion by you or your Authorised UsersDeleting or detaching machines or Gateways, clearing history, or deleting your Account or factory permanently removes data.
End of retention periodsData is deleted automatically after the periods in clause 14.
End of the agreement or unpaid SubscriptionSee clauses 14.5, 18 and 31.
Your own devicesA phone, computer or browser may show old or cached information, or may be affected by faults or malware.
Security incidents and events beyond our controlSee clauses 16 and 29.

13.3 What we do to reduce data loss. The system is designed to: store readings on the devices while the connection is down and send them when it returns; keep important event records on the panel until our cloud service confirms they have been saved; avoid counting the same record twice when it is sent again; mark a Gateway as offline (currently after about 5 minutes without contact) and show this in the apps; and leave missing periods out of calculations rather than guess. These measures reduce, but cannot remove, the risk of data loss, and how well they work depends on the device model and firmware version.

13.4 No backup promise. We do not promise to keep backup copies of Customer Data. Deleted or lost data usually cannot be recovered. If we hold any copy that could help, we may (but do not have to) use it to restore data, and we may charge for the work.

13.5 Keep your own records. The Services are not a substitute for your own records. You must regularly download the reports and other information you need for business, tax, wage, legal or audit purposes (for example, as PDF or Excel reports) and keep your own copies. Do not rely on the Services as the only place where such information is kept.

13.6 Our liability for data. To the maximum extent permitted by law, we are not liable for any loss, corruption, delay or inaccuracy of data, or for any consequence of it, unless it was caused by our gross negligence or wilful misconduct. Even then, our liability is limited by clause 27.

14. Retention, downloads and deletion

14.1 How long data is kept. We keep Customer Data only for limited periods. On the date of this version, the periods are approximately:

DataKept for
Minute-by-minute machine history30 days
Alert inbox entries30 days
Hourly and daily summaries; machine events (running, stops, faults, rolls); worker sign-ins and shifts; connection events90 days
Shift summaries (from which most reports for older dates are built) and saved report PDFs365 days
Factory settings, Gateway ownership records, orders, maintenance records, and billing, payment and invoice recordsUntil deleted by you or under clauses 14.4 to 14.6; tax and accounting records for as long as the law requires

Some specific kinds of record may be kept for a shorter or longer time where the feature that uses them needs it (for example, an open sensor-fault record is kept until it is resolved). Data may be removed a few days after its period ends. A report can include only data that still exists, and a report for an older period may say that some records are no longer available. We may change these periods by updating these Terms or the Privacy Policy. If we shorten a period, we will give you at least 30 days' notice so that you can download what you need, unless the law requires a shorter time.

14.2 Downloads. You can download reports as PDF or Excel files, and some charts as CSV files, from the apps, for the dates your access covers. A complete export of raw data is not a standard feature. If you ask for one, we may provide it at our discretion and may charge for it.

14.3 Which dates you can see. Reports are available only for dates covered by your Trial, your paid Plan Periods and any past-data access you have bought.

14.4 Deleting your login or your factory. You can delete your login from the phone app (Settings → Account → Delete account) or by emailing us. This removes your sign-in, profile, alert settings and device tokens immediately and cannot be undone. It does not by itself delete your factory's Machine Data, Worker Data, Gateways, Subscription or billing records. To delete your whole factory's data, email support@acxa.in from your registered email address; we will confirm the request with you before deleting. Deleting a factory is permanent and cannot be undone.

14.5 After your Subscription ends. If your Subscription ends or lapses, your data continues to be deleted at the end of the periods in clause 14.1. If no Subscription has been paid for 12 continuous months, we may close the Account and delete your factory's data after giving you at least 30 days' notice by email.

14.6 Data we must keep. We may keep data for longer where the law requires it (for example, tax and accounting records), to resolve a dispute, to enforce these Terms or for a security investigation, but only for as long as needed.

15. Personal data and workers' privacy

15.1 Our Privacy Policy describes how we handle personal data and forms part of the agreement.

15.2 Roles. For Worker Data and other personal data about your workers and staff, you decide why and how it is processed, so you are the “Data Fiduciary” under the Digital Personal Data Protection Act, 2023 (and the “controller” under other laws that may apply), and we process that data on your behalf as your “Data Processor”. For account, billing and security information that we need to run our business, we are a Data Fiduciary.

15.3 Your duties. You must:

  1. tell your workers, in a language they understand, that their worker ID, machine use, working times and production figures are recorded and how you use them, and obtain their consent where the law requires it (or rely on another lawful ground);
  2. enter only the personal data you need — a worker ID, a name and, if needed, a phone number — and never enter Aadhaar numbers, bank details, health information or other sensitive information in any field;
  3. not enter personal data about anyone under 18 years of age;
  4. keep worker information accurate and correct it when needed; and
  5. handle your workers' requests about their data, with our reasonable help.

15.4 Our duties as your Data Processor. We will: (a) process Worker Data only to provide the Services as these Terms describe, or as you reasonably instruct in writing; (b) make sure our staff who can access it are bound by confidentiality; (c) apply reasonable security safeguards (clause 16); (d) tell you without undue delay after we become aware of a personal data breach affecting your data, with the information reasonably available to us, and help you meet any duty to inform the Data Protection Board of India or the people affected; (e) use only the service providers described in the Privacy Policy; and (f) delete Worker Data as described in clause 14.

15.5 Processing outside India. You agree that Customer Data may be processed outside India by our service providers (for example, in the United States or the European Union), as permitted by Indian law. Our main database is in India.

16. Security

16.1 What we do. We take reasonable security measures, including: encrypting data in transit (HTTPS/TLS); access rules that keep each factory's data separate and allow access only to that factory's Account and our authorised staff; checks on our servers before data is changed; authenticated radio links and locked device chips, on devices and firmware versions that support them; and limited, logged staff access.

16.2 What you must do. Follow clause 7.3, keep Hardware physically secure, and change your password when anyone who knew it leaves your business.

16.3 No system is completely secure, and we cannot guarantee that unauthorised access will never happen. Report any suspected security incident to support@acxa.in immediately.

Part D — Fees and payment

17. Fees and taxes

17.1 Subscription fees are charged per machine for each Plan Period (currently 30 days), at the rates shown in the app when you pay or in your Order Form. The rate per machine may depend on the number of machines in your plan. Every Subscription covers at least one machine.

17.2 Prepaid. Fees are payable in advance for each Plan Period. Machines added during a Plan Period are charged for the rest of that period, as quoted in the app. Access to past data, where offered, is charged separately, as quoted.

17.3 Hardware and other services (including installation, repairs and visits) are charged as stated on the Order Form, quotation or invoice. Unless agreed otherwise in writing, Hardware must be paid for in full before it is dispatched.

17.4 Taxes. All prices exclude GST and other taxes, which are added at the applicable rate (currently 18% GST in India). You must give us your correct GSTIN and billing details before paying; an issued tax invoice can be changed only as GST law allows. Customers outside India are responsible for any taxes, duties and charges in their own country. If you must deduct tax at source (TDS), you must deposit it on time and send us the TDS certificate; otherwise you must pay us the amount deducted.

17.5 Payment. Online payments are processed by Razorpay (by card, UPI or other methods it offers) under Razorpay's terms; we do not store your full card details. We may also accept bank transfers or other methods we agree with you. A payment counts as made only when we have received it in full.

17.6 Late payment. Amounts not paid when due carry interest at 1.5% per month (or the highest rate the law allows, if lower) from the due date until paid. Where we are registered as a micro or small enterprise, we may also use our rights under the Micro, Small and Medium Enterprises Development Act, 2006. You must pay our reasonable costs of recovering overdue amounts.

17.7 Price changes. We may change our prices. A change applies to payments made after the new prices are shown in the app or notified to you, and never to a Plan Period you have already paid for. We will give existing customers at least 15 days' notice of a price increase by email or in the app.

17.8 Disputed charges. If you think a charge is wrong, tell us promptly so that we can check it. Do not raise a chargeback for a valid payment; if you do, we may suspend the Services until it is resolved.

18. Renewal, lapse and suspension

18.1 No automatic renewal. Subscriptions are not renewed or charged automatically. To continue, pay for the next Plan Period before the current one ends; you can pay ahead only as far as the app allows. We may send reminders, but we are not responsible if a reminder is not received.

18.2 When a Plan Period or Trial ends unpaid. There is no grace period. Access to live screens, alerts and most features is locked when the period ends, and machine alerts stop. Reports remain available only for the dates covered by your Trial, your paid Plan Periods and any past-data access you have bought. Access is restored once payment is received.

18.3 Your machines keep running. The end, lapse or suspension of a Subscription affects only the Software and the cloud service. It does not stop correctly installed Panels from controlling your machines.

18.4 Suspension. We may suspend all or part of the Services immediately (with notice where practical) if: (a) any payment is overdue; (b) a chargeback is raised; (c) we reasonably suspect fraud, misuse, unauthorised access or a security threat; (d) you seriously breach these Terms; or (e) the law or a government authority requires it. We will restore the Services once the cause is resolved.

18.5 Cancelling. You may stop at any time by not paying for the next Plan Period. If you ask us to cancel a paid plan, access continues until the end of the Plan Period already paid for.

19. Refunds

19.1 Fees paid are not refundable — including for part of a Plan Period, unused machines, periods when you did not use the Services, and periods affected by outages or data loss — except: (a) a duplicate or mistaken payment; (b) where these Terms expressly provide a pro-rata refund (clauses 29, 31.4, 31.5 and 32.3); or (c) where the law requires a refund.

19.2 Approved refunds are paid to the original payment method (or to your bank account), normally within 15 business days after approval.

19.3 Delivered Hardware cannot be returned for a refund, except for defects covered by clause 6 or as agreed in writing.

Part E — Responsibilities and legal protections

20. Your responsibilities

In addition to your other duties under these Terms, you must:

  1. comply with these Terms and with all laws that apply to your business, including factory, labour, wage, electrical safety, fire safety, data protection and tax laws;
  2. operate and maintain your machines and premises safely (clause 21);
  3. provide the power, earthing, mounting places and network connections described in clause 5.6;
  4. set up and check all settings (clause 5.7) and check figures (clause 12);
  5. inform your workers and handle their data lawfully (clause 15);
  6. keep your Account secure (clause 7.3) and your contact details up to date;
  7. keep your own records (clause 13.5); and
  8. make sure your Authorised Users follow these Terms. You are responsible for their acts and omissions.

21. Machine and workplace safety

21.1 You remain fully responsible for the safe operation of your machines and premises and for the safety of your workers and visitors, including under the Factories Act, 1948 or the Occupational Safety, Health and Working Conditions Code, 2020 (whichever applies) and electrical safety regulations.

21.2 The safety features of our panels do not replace a machine's guards, emergency stops, interlocks or the manufacturer's instructions. Never bypass, disable or remove a machine's safety devices. Isolate the power before any work on a panel or machine; electrical work must be done only by qualified persons.

21.3 The apps, alerts and figures are information only. They do not replace supervision, inspection or maintenance, and must not be relied on to detect a dangerous condition.

22. Alerts and notifications

22.1 Alerts (in the apps, desktop pop-ups, phone notifications and email) are a convenience. They are checked and sent periodically, so they can arrive several minutes after an event; a machine or Gateway is shown as offline only after several minutes without contact. Alerts can also be delayed, not delivered, or delivered more than once — for example, when a phone is switched off, offline, silenced, in do-not-disturb or battery-saving mode, or has notifications turned off; when an app is out of date; during quiet hours you set; when an email is filtered as spam; or when a provider has an outage. Alerts depend on your settings and thresholds, and some alerts are not sent when no worker is on shift.

22.2 Machine alerts stop while access is locked (clause 18.2).

22.3 Do not rely on alerts for anything safety-critical or time-critical. We are not liable for any loss caused by an alert being delayed, not sent, not received or wrong.

23. Acceptable use

You must not, and must make sure your Authorised Users do not:

  1. access, or try to access, another factory's data or any part of the Services you are not authorised to use;
  2. share your Account with anyone outside your business, or resell the Services;
  3. copy, modify, decompile, reverse engineer, read out or extract the Software, the Firmware or the design of the Hardware, except as far as the law expressly allows despite this restriction;
  4. tamper with, open or modify Hardware, SIM cards or seals, or connect unauthorised devices to them;
  5. send false or made-up data, or interfere with how data is recorded;
  6. test, scan, attack or overload the Services, or get around any security, access or payment control;
  7. upload viruses or other harmful code;
  8. use automated tools to extract data beyond normal use of the apps;
  9. use the Services to build a competing product, or publish comparisons or test results without our written consent; or
  10. use the Services in breach of any law or anyone else's rights.

We may suspend access for any breach of this clause, and you are responsible for any loss it causes.

24. Intellectual property

24.1 We and our licensors own all intellectual property in the Software, the Firmware, the Hardware designs, our documentation and report layouts, and the Acxa, Acxa Control System and KnitDash names and logos. Buying Hardware gives you ownership of the physical unit only, not of the Firmware or the designs, which are licensed to you under clauses 5.8 and 7.1.

24.2 You may use reports you download for your own business. If you give us suggestions or feedback, we may use them freely without payment.

25. Confidentiality

25.1 Each party will keep confidential the other's non-public business, technical and commercial information received in connection with the agreement — including your Customer Data, and our Firmware, product plans and any prices offered specifically to you — and use it only for the agreement.

25.2 This does not apply to information that is or becomes public (other than through a breach), that the receiving party already knew, developed independently or received lawfully from someone else. Information may be disclosed where the law requires, with notice to the other party where lawful.

25.3 These duties last for 3 years after the agreement ends, and, for Customer Data, for as long as we hold it.

26. Warranties and disclaimers

26.1 We will provide the Services with reasonable skill and care.

26.2 Except as expressly stated in these Terms (including the Hardware warranty in clause 6), and to the maximum extent permitted by law, the Hardware, Software and Services are provided “as is” and “as available”, and we exclude all other warranties, conditions and representations, whether express or implied, including any implied condition or warranty as to quality, merchantability or fitness for a particular purpose under the Sale of Goods Act, 1930 or otherwise.

26.3 In particular, we do not warrant that the Services will be uninterrupted, timely, secure or error-free; that all data will be recorded, delivered or kept; that figures will be accurate or complete; that every fault, stop or dangerous condition will be detected; or that any production, efficiency or financial result will be achieved.

26.4 Statements by Resellers, or in brochures, on our website, in demonstrations or in sales conversations, are not warranties unless they are included in these Terms or in an Order Form signed by us.

27. Limitation of liability

27.1 No indirect losses. To the maximum extent permitted by law, we are not liable — whether in contract, tort (including negligence), breach of statutory duty or otherwise — for any: loss of profit, revenue, production or business; idle machine or labour time; wasted or damaged yarn, fabric or materials; wages, penalties, damages or claims paid to workers, buyers or others; loss of goodwill or reputation; loss, corruption or delay of data (except as set out in clause 13.6); cost of substitute goods or services; or indirect, incidental, special, consequential, exemplary or punitive loss — even if we were told it might happen.

27.2 Overall limit. Our total liability for all claims arising out of or in connection with the agreement in any 12-month period is limited to: (a) for claims about specific Hardware, repairing or replacing it or refunding the price paid for that unit, as described in clause 6; and (b) for all other claims together, the Subscription fees you actually paid us in the 12 months before the event giving rise to the claim.

27.3 What is not limited. Nothing in these Terms limits or excludes liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law.

27.4 Your liability. Nothing in this clause limits your duty to pay fees and charges, or your liability under clauses 23, 24 and 28.

27.5 Why these limits are fair. You agree that our prices reflect this sharing of risk, that these limits are reasonable for a contract between businesses, and that you can take out your own insurance (for example, for machinery breakdown, fire and business interruption).

27.6 Each limit in this clause applies separately, and continues to apply even if another limit is found unenforceable.

28. Indemnity

You will indemnify Advance Tech India, its proprietor, employees and agents against all claims, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or of any law; (b) claims by your workers, staff, contractors, buyers or any authority in connection with your use of the Services, figures or Worker Data, including decisions about pay or employment; (c) installation, wiring or repair work done by you, your electricians or a Reseller; (d) your failure to operate machines safely; (e) misuse of a SIM card; or (f) any data you put into the Services — except to the extent caused by our fraud, wilful misconduct or gross negligence.

29. Events beyond our control

Neither party is responsible for delay or failure to perform its obligations (other than obligations to pay money) caused by events beyond its reasonable control, including: natural disasters, floods, earthquakes, fire, epidemics, war, terrorism, riots, strikes, lockouts, government orders, internet or telecom shutdowns ordered by an authority, failures of the power grid, telecom networks or the internet, outages of cloud or other providers not caused by us, cyber-attacks despite reasonable security, and shortages of components. The affected party will tell the other and use reasonable efforts to resume. If such an event prevents the Services for more than 60 days in a row, either party may end the affected Subscription by written notice, and we will refund fees for the unused part of any paid Plan Period.

30. Third-party services

The Services rely on other companies, including: Google (Firebase and Google Cloud — hosting, database, sign-in and server functions); mobile network operators (Gateway connectivity); Razorpay (payments); Expo (app updates and phone notifications); Apple and Google (app stores and phone notifications); Sentry (crash reports); our email delivery providers; and Vercel (our website). Their services are governed by their own terms. We choose them with care, but we are not responsible for their failures that are beyond our reasonable control. We may change providers; the Privacy Policy lists the current ones.

31. Term and termination

31.1 The agreement starts as described in clause 1.2 and continues until it is ended under this clause. Each Subscription runs one Plan Period at a time.

31.2 By you. You may stop paying for the next Plan Period at any time, and you may ask us to delete your factory's data (clause 14.4). Fees already paid are not refunded, except under clause 19.

31.3 By us, for breach. We may end the agreement or any Subscription by written notice if you: (a) commit a material breach and do not remedy it within 15 days after our notice; (b) commit fraud or a serious breach of clause 23 (with immediate effect); or (c) do not pay any amount within 30 days after it is due.

31.4 By us, for any reason. We may end the agreement by giving 90 days' written notice, and will refund fees for the unused part of any paid Plan Period.

31.5 If we stop providing the Services. If we stop providing the Services altogether, we will give at least 90 days' notice where reasonably possible, let you download reports during that time and refund fees for the unused part of any paid Plan Period. Correctly installed panels will continue to control your machines without the Services.

31.6 What happens at the end. Your access ends; all amounts owed become payable; data is handled under clause 14; demonstration Hardware must be returned; and the clauses that by their nature should continue (including clauses 5.2, 6, 11 to 15, 17, 19 and 23 to 35) continue to apply.

Part F — General

32. Changes to these Terms

32.1 We may update these Terms from time to time — for example, to reflect changes to the Services, our business or the law. We will publish each new version at app.acxa.in/terms with a new version date, and may ask you to accept it in the app.

32.2 For changes that materially affect your rights, we will give you at least 15 days' notice by email or in the app before they take effect, unless the law or an urgent security need requires a change sooner.

32.3 If you continue to use the Services after a new version takes effect, you accept it. If you do not agree to it, you must stop using the Services before it takes effect, and you may ask for a refund of fees for the unused part of any paid Plan Period.

32.4 Commercial details in a signed Order Form (such as quantities, agreed prices for an agreed period and the warranty period) can be changed only in writing signed by both parties.

33. Disputes and governing law

33.1 Law. The agreement, and any dispute or claim arising out of or in connection with it, is governed by the laws of India.

33.2 Talk first. A party with a dispute will give the other written notice of it, and both will try in good faith to settle it within 30 days, including by a meeting of senior representatives. Where the law requires mediation before a case is filed (for example, under the Commercial Courts Act, 2015), the parties will take part in it.

33.3 Customers in India. Subject to clause 33.2, the courts at Ludhiana, Punjab have exclusive jurisdiction.

33.4 Customers outside India. Any dispute will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement of the parties or, failing agreement within 30 days, in accordance with that Act. The seat and venue of arbitration is Ludhiana, Punjab, India, and the language is English. The award is final and binding.

33.5 Either party may apply to a competent court for urgent interim relief. Nothing in this clause limits any right we have as a micro or small enterprise under the Micro, Small and Medium Enterprises Development Act, 2006. While a dispute is being resolved, you must continue to pay amounts that are not in dispute.

34. Notices

34.1 To us: by email to support@acxa.in. Notices of breach, termination or a legal claim must also be sent by post or courier to the address in clause 2.

34.2 To you: by email to your Account's registered email address, by notice in the app, by SMS or WhatsApp to your registered mobile number, or by post to the address on your Order Form or invoice.

34.3 An email notice is received when sent, unless the sender receives a message that it was not delivered. A posted notice is received 5 business days after posting.

35. General

35.1 Entire agreement. The documents in clause 1.6 are the entire agreement between us about their subject, and replace all earlier proposals, discussions and versions of our terms. Each party confirms that it has not relied on any statement that is not set out in them.

35.2 Severability. If any part of these Terms is found invalid or unenforceable, it will be applied to the greatest extent allowed, and the rest of the Terms will continue in force.

35.3 No waiver. A delay or failure to enforce a right is not a waiver of it.

35.4 Transfer. You may not transfer the agreement without our written consent. We may transfer it to a successor of our business, including on a sale, reorganisation or change of the legal form of our business (for example, incorporation as a company), with notice to you.

35.5 Subcontracting. We may use subcontractors and service providers, and we remain responsible for our obligations under the agreement.

35.6 Relationship. The parties are independent. Nothing in the agreement creates a partnership, joint venture, agency or employment relationship.

35.7 Third parties. No one other than you and us has any right under the agreement, except the persons covered by clause 28.

35.8 Signing. A printed copy may be signed in counterparts, and scanned or electronic signatures are valid. Any stamp duty payable on a signed copy is paid by the Customer, unless agreed otherwise in writing.

35.9 Interpretation. Headings and the key points summary are for convenience only and do not change the meaning of these Terms. Words in the singular include the plural and vice versa.
